Is Character.AI Shutting Down? The Bankruptcy Explained (2026)
Character.AI filed for Chapter 11 on 12 October 2026. What it means for your chats, characters and c.ai+ plan, the sale timeline, and what to do now.
Character.AI is not shutting down today, but its future is now up to a bankruptcy sale. The company filed for Chapter 11 on 12 October 2026, says the app keeps running while it looks for a buyer, and says the platform will be wound down if no buyer offers to keep it going. A decision is expected by late November or early December 2026, so export your data now and keep any subscription monthly. Everything below is as of 13 October 2026 and based on the company’s announcement and reporting on the court filings; we will update this page as the sale moves.
What happened, in plain terms
On 12 October 2026, Character Technologies, Inc., the company behind Character.AI, started a voluntary Chapter 11 case in the US Bankruptcy Court for the District of Delaware (case 26-11603). Chapter 11 is not the same as closing. It lets a company keep operating under court supervision while it restructures or, in this case, sells “all or substantially all” of its assets.
In its announcement, Character.AI said it had faced “significant legal, regulatory, and operational headwinds” over the past year, and that its board picked a court-supervised sale as the best way to get value for its stakeholders. The filing lists estimated assets and liabilities of $50 million to $100 million each.
The key sentence for users is this one: the company hopes the sale produces a proposal “that will allow continued operations of the Character.ai platform. If such a bid is unavailable, however, the platform will be wound down.”
What Disney’s $20 million bid does and does not cover
Reuters reported that Character.AI agreed to sell some assets to Disney for $20 million, with Disney as the “stalking horse”: the opening bid that sets a floor for an auction. Other bidders can offer more, and the court has to approve the outcome.
The detail that matters for users is what that bid is for. According to reporting on the filings, it covers a non-exclusive, perpetual license to certain Character.AI technology and related claims, plus transition services from former Character.AI staff who joined Disney. It is not reported to include the app, the brand outright or the user base. In other words, Disney’s bid on its own does not keep Character.AI running. Continued service depends on a different buyer, or a different bid, that wants to operate the platform.
What changes for you right now
| Question | Status as of 13 Oct 2026 |
|---|---|
| Is the app working? | Yes, all services are available |
| Is my c.ai+ or lite plan active? | Yes, billing is unchanged for now |
| Will I be told before paid features change? | The company says it intends to notify subscribers in advance |
| Are my chats and characters still there? | Yes, under the existing privacy policy |
| Can I export or delete my data? | Yes, through the app or the website |
| What happens to my data after a sale or wind-down? | Not stated |
| Refunds if the service closes? | Not stated |
| When is the sale decided? | Expected end of November or early December 2026 |
The current plans are unchanged: c.ai+ at $9.99 a month or $94.99 a year in the US, and (c.ai) lite at $4.99 a month, added on 28 September. Our Character.AI pricing guide has what each includes.
What to do this week
1. Export your data. Character.AI says you can export your data through the app or the website. There is no per-chat export button; you request an account-wide export in settings, and third-party guides report it arrives later rather than as an instant download. Request it once and wait. Our step-by-step guide on how to export Character.AI chats and save your characters covers the export and the manual backups worth making alongside it.
2. Save your own characters by hand. If you built characters, copy their name, greeting, description and definition into a document now. That text is what you would need to recreate them in another app, and it is quick to copy while the app is up.
3. Keep payments monthly. A monthly c.ai+ plan costs you at most one month if things change. An annual plan is a bet on the sale outcome, and no refund policy for a wind-down has been published. If you are on annual already, there is nothing to do yet; watch for the notice the company says it will send.
4. Try an alternative in parallel, without deleting anything. You do not need to leave to prepare. Use Character.AI as normal and try one or two other apps on the side, so you are not choosing in a hurry if a shutdown notice arrives.
Where Character.AI users are going (and a disclosure)
We make Euphoria: AI Choices, a competing app, so weigh our suggestions accordingly. Our full comparison, with prices and free limits, is in Best Character.AI alternatives. The short version is that it depends on what you used Character.AI for.
Most alternatives are chat apps: you talk to a character one message at a time, and the app’s memory decides how much of the past it can see. That suits companionship and casual roleplay. If what you mostly did on Character.AI was build a story, a story app is a different, and often better, fit. In Euphoria, every scene is illustrated with your own character and outfits drawn in, stories run across chapters with a coherent plot and memory that carries from one to the next, and you type any action in free text. We explain the difference in AI story app vs AI chat app.
| If you used Character.AI for | Consider | Why |
|---|---|---|
| Everyday companion chat with voice | Talkie | Closest like-for-like app; see Talkie vs Character.AI |
| One companion that remembers you | Kindroid | Strong long-term memory, subscription-only since 1 Oct 2026 |
| Control over the model and filters | Janitor AI | Web and mobile apps, bring your own model |
| Long stories and adventures | Euphoria: AI Choices | Illustrated, chapter-based, free download |
| A huge free library | PolyBuzz | No message cap, frequent ads |
Who should act now, and who can wait
Act now if you have characters or long chats you would be upset to lose, you are on or about to buy an annual plan, or you rely on Character.AI daily and do not want to pick a replacement under pressure.
You can wait if you use it casually, have nothing you would miss, and are on the free tier or a monthly plan. Nothing changes for you until a buyer is approved or a wind-down is announced, and the company says subscribers will hear first.
What happens next
The company expects the court-supervised sale to finish by the end of November or perhaps early December 2026, though bankruptcy timelines often slip. There are three broad outcomes: a buyer that keeps the platform running, possibly with changes to plans or features; a sale of technology and assets only, followed by a wind-down; or a slower process than planned. Court filings are posted by the claims agent, Stretto, at cases.stretto.com/chartech, and the company posts updates on its blog. We will update this page when the outcome is known. In the meantime, our Character.AI review describes the app as it is today.
Frequently asked questions
Is Character.AI shutting down?
Not yet. Character.AI filed for Chapter 11 bankruptcy on 12 October 2026 to sell the company, and says the platform stays up during the sale. If no buyer offers to keep it running, the company says the platform will be wound down. It expects the sale to finish by late November or early December 2026.
Did Disney buy Character.AI?
No. Disney is the opening, or stalking-horse, bidder at $20 million, and reporting on the filings says that bid is for a non-exclusive, perpetual license to certain Character.AI technology plus transition help from former staff, not for the app or its users. Other bidders can still top it, and the court must approve the result.
Will I lose my Character.AI chats?
Nothing has been deleted, and the company says data stays under its current privacy policy. It has not said what happens to chats or characters if the platform is sold or wound down. Character.AI lets you request an export of your account data in settings, so do that now rather than waiting.
Should I cancel c.ai+?
Your plan stays active and billing is unchanged for now, and Character.AI says it will notify subscribers before paid features change. A monthly plan carries little risk. Avoid starting or renewing an annual plan until the sale is decided, because no refund policy for a wind-down has been published.
When will we know if Character.AI survives?
The company expects the court-supervised sale to be complete by the end of November or perhaps early December 2026. Bankruptcy timelines often slip. Court filings are posted by the claims agent, Stretto, at cases.stretto.com/chartech.
What is the best Character.AI alternative if it closes?
It depends on what you use it for. Talkie is the closest like-for-like chat app, Janitor AI gives the most control, and Kindroid is strongest on companion memory. If you mostly used Character.AI for stories, a story app such as Euphoria: AI Choices, with illustrated chapters and memory across them, is a closer fit.
